A detailed terms of service for our users.

IMPORTANT – PLEASE READ CAREFULLY:
These Terms of Service (“Terms”) constitute a legally binding agreement between you (an individual, the “Customer”) and Aim with AIIME LLC (“AIIME”), a subsidiary of Neptune Technologies Inc. (“AIIME,” “we,” “us,” or “our”). These Terms govern your access to and use of the AIIME website (www.aiime.com), mobile applications, and all associated in-application experiences and AI-powered features (collectively, the “Service”). These Terms are supplemental to, and incorporate by reference, any other agreements, policies, or notices—including our Privacy Policy and Acceptable Use Policy—that govern your use of our software, products, and services. If you do not agree to these Terms, you must not use the Service.
Scope of Service:
AIIME provides U.S. consumers with two primary offerings:
- Trading Accounts: White labeled trading accounts powered by Alpaca Markets. All know your customer (“KYC”) requirements, account opening, and trading services are handled solely by Alpaca Markets.
- Research Only Access: Accounts used solely for research, analysis, and educational purposes.
All users must be United States residents over the age of 18. By using the Service, you acknowledge that you meet these eligibility requirements.
1. INTRODUCTION
1.1 Overview.
These Terms of Service (“Terms”) govern your access to and use of the AIIME Service. They are in addition to any other agreements between you and AIIME, including any account or customer agreements. If you do not agree with these Terms, you must immediately discontinue use of the Service.
1.2 Applicability.
These Terms apply solely to consumer users of AIIME. There are no separate enterprise or commercial accounts. All accounts are consumer accounts, and all trading services are provided in partnership with Alpaca Markets.
2. DEFINITIONS
2.1 “Customer” means any individual who registers for or uses the Service.
2.2 “User” means any person who accesses or uses the Service.
2.3 “Service” refers to the AIIME website, mobile applications, and all associated software, tools, content, and AI-powered features provided by AIIME.
2.4 “AI” means the artificial intelligence components integrated into the Service that generate responses (“Output”) based on user-provided inputs (“Input”).
2.5 “Customer Content” means any data, text, images, or other materials that you submit, upload, or otherwise provide to the Service.
2.6 “Subscription Term” means the period during which you are authorized to use the Service under your chosen plan (including free trials, promotional periods, or fixed fee memberships).
2.7 “Third Party Provider” means any external vendor whose technology or services are used by AIIME in connection with the Service (e.g., Alpaca Markets or Plaid).
2.8 “Free Tier” means the no cost version of the Service that provides limited access to certain AI features.
3. ACCEPTANCE OF TERMS
3.1 Binding Agreement.
By accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference. If you are using the Service on behalf of another entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not access or use the Service.
4. USE OF THE SERVICE
4.1 License Grant.
Subject to your compliance with these Terms, AIIME grants you a limited, revocable, non exclusive, non transferable, and non sublicensable license to access and use the Service solely for your personal, noncommercial purposes during the Subscription Term.
4.2 Permitted Uses.
(a) Trading Account Users: If you open a white labeled trading account, your access to trading features is provided via our partnership with Alpaca Markets. All KYC, account opening, and trading services are handled by Alpaca Markets, and your use of these services is subject to Alpaca’s terms.
(b) Research Only Users: If you use the Service solely for research and analysis, you agree that no trading or brokerage activities will be conducted through your account.
4.3 Optional AI Features.
You may enable or disable AI-powered features as desired. Such features may be offered on a fixed fee, free trial, or Alpha/Beta testing basis, as communicated at the time of registration.
4.4 Third Party Components.
Certain aspects of the Service (including AI functionality, trading features, and account transfers) are provided by Third Party Providers. Your use of those components is subject to their respective terms, which are incorporated herein by reference.
5. CONTENT AND DATA
5.1 Content Provided by AIIME
The Service may include or make available various types of content (the “Content”), including, without limitation:
- Account positions, balances, transactions, confirmations, and order history;
- General news, commentary, research reports, educational materials, and data concerning financial markets and securities;
- Market data, such as quotations for securities transactions and/or last sale information reported in accordance with federal securities regulations;
- Financial and investment interactive tools, such as alerts and calculators;
- Tax preparation, bill payment, and account management tools;
- Company names, logos, product names, trade names, trademarks, and service marks (“Marks”) owned by AIIME or Third Party Providers; and
- Any other information, content, services, or software provided through the Service.
Content posted on the Service is published as of its stated date or, if no date is indicated, the date of first posting. AIIME does not have a duty to update such Content.
5.2 Customer Content and AI Outputs
- The Input you provide to the AI and the Output generated (collectively, “Customer Content”) are your responsibility.
- You retain ownership of your Customer Content. By submitting such content, you grant AIIME a limited license to use, process, and store it solely to deliver and improve the Service.
- AIIME may use aggregated and de-identified data derived from your Customer Content for service improvement purposes; such data will never be used to train the core AI models or disclosed in a personally identifiable manner.
5.3 Free Tier Data Use
For users on the Free Tier, AIIME may collect usage data, bug reports, and flagged issues solely for monitoring and improving the Service (e.g., for debugging or performance enhancements). All such data is aggregated and de-identified prior to analysis.
5.4 Third Party Content
The Service may include Third Party Content provided by external vendors. AIIME does not control such content and makes no representations regarding its accuracy, timeliness, or suitability. Use of Third Party Content is at your own risk.
6. FEES AND PAYMENT
6.1 Consumer Fees.
Access to the Service is available on a subscription basis at a fixed membership rate or fee as specified on the AIIME platform. The applicable fee schedule, billing cycles, and payment terms are detailed on the website and incorporated herein by reference.
6.2 Free Tier.
The Service may offer a Free Tier with limited functionality at no cost. Use of the Free Tier is subject to the limitations described on the platform.
6.3 Third Party Fees.
If you open a trading account, you acknowledge that Alpaca Markets is the provider of your trading services and that additional fees or charges may apply per Alpaca’s terms. Likewise, fees for account transfers via Plaid are subject to Plaid’s terms.
6.4 Taxes.
All fees are exclusive of applicable taxes, duties, or governmental assessments (“Taxes”), which you agree to pay in accordance with applicable law. You may be required to pay any “gross up” amounts necessary to ensure AIIME receives the full fee.
6.5 Billing and Payment.
You agree to provide accurate and current payment information. Failure to pay fees when due may result in suspension or termination of your access to the Service.
7. ACCEPTABLE USE AND USER CONDUCT
7.1 General Obligations.
You agree to use the Service in accordance with all applicable laws, these Terms, and the Acceptable Use Policy. In particular, you agree not to:
- Provide or submit any Input that is unlawful, harmful, or contains sensitive personal data;
- Reverse engineer, decompile, or otherwise attempt to extract the underlying code or structure of the AI features;
- Use the Service to develop a competing product or service without prior written consent from AIIME;
- Employ automated data extraction methods (e.g., web scraping) not expressly permitted by AIIME.
7.2 Forums and Interactive Areas.
If you participate in any interactive features or discussion forums on the Service, you agree to abide by all community guidelines. In such areas, you must disclose any material financial interests when discussing specific securities or companies.
7.3 Geographic Restrictions.
The Service is intended for use solely within the United States. By using the Service, you represent that you are located in the United States and agree to comply with all applicable U.S. laws.
7.4 External Links.
The Service may contain links to external websites or resources. AIIME does not control these external sites and is not responsible for their content or availability. You acknowledge that use of such external resources is at your own risk.
7.5 FRAUDULENT ACTIVITIES AND ACCOUNTS.
7.5.1 Prohibition of Fraudulent Activities.
You shall not engage in any fraudulent activities in connection with the Service, including but not limited to: creating false or misleading information about trading activities, manipulating market data, or engaging in any activities designed to artificially inflate trading volume or influence financial markets.
7.5.2 Multiple Account Restrictions.
Creation of multiple accounts for the purpose of circumventing our terms, receiving duplicate benefits, or evading monitoring systems is strictly prohibited. AIIME reserves the right to investigate accounts suspected of being connected for fraudulent purposes. Accounts sharing the same device, IP address, payment method, or other identifying characteristics may be flagged for review.
7.5.3 Account Monitoring and Investigation.
AIIME employs both automated systems and human review to detect potentially fraudulent activities. We reserve the right to monitor all account activities for suspicious patterns and to investigate any accounts showing signs of fraudulent behavior. By using the Service, you consent to such monitoring within the boundaries of applicable law
7.5.4 Actions Against Suspected Fraud.
If AIIME reasonably suspects, in its sole discretion, that an account is being used for fraudulent purposes, we may take any or all of the following actions without prior notice: (a) suspend or terminate access to AIIME's research and analytical Services (b) report suspicious activities to Alpaca Markets (for trading accounts) (c) restrict access to AI features and other AIIME- controlled functionalities (d) notify law enforcement or regulatory authorities when required by law (e) deny future applications for AIIME services (f) take other protective measures related to AIIME's Services as deemed necessary For trading accounts, please note that Alpaca Markets maintains separate authority over trading functions, account funds, and securities. Any actions related to the freezing of funds, cancellation of trades, or other broker-dealer functions will be handled according to Alpaca Markets' terms of service and regulatory obligations.
7.5.5 Reporting Obligations.
You must immediately notify AIIME at security@aiime.com if you: (a) detect any unauthorized access to your account (b) observe suspicious activities related to your account (c) become aware of any potential security breach Failure to promptly report such incidents may limit your rights under these Terms and affect any potential remedies.
7.5.6 Cooperation with Authorities.
AIIME will cooperate with law enforcement and regulatory authorities in the investigation of suspected fraudulent activities and may disclose user information, transaction details, and account data as required by law or to protect the interests of AIIME, its users, or the public.
8. INTELLECTUAL PROPERTY
8.1 Ownership.
All intellectual property rights in the Service—including its design, software, and content (excluding your Customer Content)—are owned by AIIME or its licensors. Nothing in these Terms grants you any rights in such intellectual property beyond the limited license to use the Service.
8.2 Trademarks.
All trademarks, logos, and service marks (“Marks”) displayed on the Service are the property of AIIME or their respective owners. You may not use any such Marks without prior written consent from the owner.
9. TERMINATION AND MODIFICATION
9.1 Termination.
AIIME may suspend or terminate your access to the Service immediately, with or without notice, if you breach these Terms or if required by law. Upon termination, all rights granted to you under these Terms will immediately cease. In the event of termination of a trading account, your obligations to Alpaca Markets shall remain in effect.
9.2 Modifications.
AIIME may update or revise these Terms at any time by posting a revised version on the website. Material changes will be communicated via the Service. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
10. INDEMNIFICATION
10.1 Your Indemnification Obligation.
You agree to indemnify, defend, and hold harmless AIIME, its affiliates, and any Third Party Providers from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or infringement of any third-party rights.
10.2 Exclusions.
This indemnification does not apply to claims arising solely from AIIME’s gross negligence or willful misconduct.
11. LIMITATION OF LIABILITY
11.1 Disclaimer.
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. AIIME, its affiliates, and any Third Party Providers DISCLAIM ALL IMPLIED WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
11.2 Limitation on Liability.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIIME’S AGGREGATE LIABILITY FOR ANY DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE DURING THE 12 MONTHS PRIOR TO THE CLAIM. AIIME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. GOVERNING LAW, VENUE, AND DISPUTE RESOLUTION
12.1 Governing Law.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
12.2 Exclusive Venue.
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Lee County, Florida. You hereby consent to the personal jurisdiction and venue of such courts.
12.3 Arbitration.
Notwithstanding Section 12.2, the parties may agree to submit disputes to binding arbitration in Lee County, Florida, under rules mutually agreed upon by the parties.
13. MISCELLANEOUS
13.1 Notices.
All notices under these Terms must be in writing and delivered either electronically or by postal mail to the addresses provided by the parties. Notices are effective upon receipt.
13.2 Electronic Communications.
By using the Service, you consent to receive communications from AIIME electronically (e.g., via email or SMS).
13.3 Assignment.
You may not assign or transfer any rights under these Terms without AIIME’s prior written consent. AIIME may assign its rights or obligations in connection with a sale or transfer of its business.
13.4 Severability.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.5 Entire Agreement.
These Terms, together with our Privacy Policy, Acceptable Use Policy, and any other documents incorporated herein by reference, constitute the entire agreement between you and AIIME regarding your use of the Service.
13.6 Force Majeure.
Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control.
